Terms of Service

By creating an account, accessing, or using the OPUS MGL platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these Terms, you must not access or use our services.

You represent and warrant that:

• You are at least 18 years of age or the legal age of majority in your jurisdiction.
• You have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.
• If accepting on behalf of an organization, you have the authority to bind that organization to these Terms.
• Your use of the services will comply with all applicable laws and regulations.

We reserve the right to modify these Terms at any time. Material changes will be communicated through our platform or via email. Your continued use of the services after such modifications constitutes acceptance of the updated Terms.

OPUS MGL provides a comprehensive OPUS Material Genealogy Layer platform designed to enable complete traceability of materials throughout the manufacturing process. Our services include:

• Material Tracking: Real-time tracking and monitoring of materials from raw inputs to finished products.
• Genealogy Mapping: Comprehensive visualization of material relationships and transformations.
• Quality Analytics: Advanced analytics and reporting for quality control and compliance.
• Integration Services: APIs and connectors for integration with existing manufacturing systems.
• Compliance Tools: Features to support regulatory compliance and audit requirements.

We strive to maintain high availability of our services but do not guarantee uninterrupted access. Scheduled maintenance and updates may temporarily affect service availability, and we will provide reasonable advance notice when possible.

As a user of OPUS MGL, you are responsible for:

• Account Security: Maintaining the confidentiality of your login credentials and promptly notifying us of any unauthorized access.
• Accurate Information: Providing accurate, current, and complete information during registration and throughout your use of the platform.
• Data Integrity: Ensuring the accuracy and legality of the data you input into the platform.
• Compliance: Complying with all applicable laws, regulations, and industry standards in your use of the services.
• Authorized Use: Ensuring that all users under your account are authorized and comply with these Terms.

You agree not to:

• Use the services for any unlawful purpose or in violation of any applicable regulations.
• Attempt to gain unauthorized access to any part of the platform or its related systems.
• Interfere with or disrupt the integrity or performance of the services.
• Reverse engineer, decompile, or disassemble any part of the platform.
• Share your account credentials or allow unauthorized third parties to access the services.
• Use automated systems or bots to access the platform without our express written permission.

Our Intellectual Property: The OPUS MGL platform, including all software, algorithms, designs, documentation, trademarks, and other intellectual property, is owned exclusively by Opsida Teknoloji. These Terms do not grant you any ownership rights to our intellectual property.

License Grant: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the OPUS MGL platform for your internal business purposes during the term of your subscription.

Your Data: You retain all ownership rights to the data you input into the platform. By using our services, you grant us a limited license to process, store, and display your data solely to provide the services. We will not use your data for any other purpose without your explicit consent.

Feedback: Any feedback, suggestions, or ideas you provide regarding our services may be used by us without obligation to compensate you, and such feedback becomes our property.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Disclaimer of Warranties: The services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Limitation of Damages: In no event shall Opsida Teknoloji be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the services.
• Liability Cap: Our total cumulative liability to you for any claims arising from these Terms or your use of the services shall not exceed the total fees paid by you during the twelve (12) months preceding the claim.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

Termination by You: You may terminate your account at any time by contacting our support team or using the account settings in the platform. Upon termination, your access to the services will cease immediately.

Termination by Us: We reserve the right to suspend or terminate your access to the services at any time, with or without cause, including but not limited to:

• Violation of these Terms or any applicable policies.
• Non-payment of applicable fees.
• Conduct that we determine is harmful to other users or our business.
• Request by law enforcement or government authorities.

Effect of Termination: Upon termination:

• All licenses granted to you under these Terms will immediately terminate.
• You must cease all use of the services.
• We will retain your data for a reasonable period to allow for data export, after which it may be deleted.
• Provisions that by their nature should survive termination will remain in effect.

These Terms shall be governed by and construed in accordance with the laws of the European Union and the member state in which our principal place of business is located, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the services shall be resolved through the following process:

• Informal Resolution: The parties shall first attempt to resolve any dispute informally by contacting each other directly.
• Mediation: If informal resolution fails, the parties agree to participate in good-faith mediation before pursuing litigation.
• Jurisdiction: Any legal action shall be brought exclusively in the courts of competent jurisdiction in our principal place of business.

Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights.
